Terms of Service

These terms are an agreement between you and Incognito Productions LLC, doing business as Benmore Technologies ("Benmore", "we", "us"), about your use of Sonvo: the website at sonvo.co, Sonvo for Mac, the sonvo command, Sonvo for Slack and our API ("Sonvo"). By creating an account or using Sonvo, you agree to them. If you use Sonvo for an organization, you agree for that organization and confirm you're allowed to. Our Privacy Policy explains how we handle personal information.

1. Your account

You need to be at least 16 to use Sonvo. Give us accurate information, keep your password and API tokens safe, and tell us right away if you think someone else has used your account. You're responsible for what happens in your account, including anything done by apps, scripts or AI agents you sign in with it.

2. Your content

You own what you record, upload and write in Sonvo ("your content"). You give us a license to host, store, copy, process, transcribe, summarize, display and share your content, only as needed to run Sonvo for you and the people you share with: for example to make transcripts, summaries, thumbnails and link previews, and to send it to the providers listed in our Privacy Policy that help us do that. The license ends when you delete the content, except for copies in backups until they expire and anything other people already downloaded.

You're responsible for your content and promise you have the rights needed to record, upload and share it.

3. Recording other people

Recording laws differ by place, and some require everyone being recorded to agree. Before you record or share other people's voices, faces or screens, including calls and meetings, get the consent the law requires and tell people when they're being recorded. Don't record anything you aren't allowed to, such as confidential information you have no right to share.

4. Acceptable use

Don't use Sonvo to:

• break the law or help anyone else break it;
• share content that infringes someone's intellectual property, privacy or publicity rights;
• harass, threaten, defame or exploit anyone, or share sexual content involving minors, which we report to the authorities;
• spread malware, spam or phishing, or host files for unrelated distribution;
• get around plan limits, security or access controls, or test, probe or overload our systems without our written permission;
• scrape Sonvo, or copy or resell it, except through the features and API we offer.

We may remove content or limit, suspend or close accounts that break these terms or put Sonvo, its users or others at risk. Where it's reasonable, we'll tell you first and give you a chance to fix it.

5. Sharing

You choose who can watch each video: anyone with its link, only you, or a workspace. Anyone with a link can watch and pass it on, and apps like Slack show a preview of it. Make a video private or delete it to stop people watching. Workspace owners can manage their workspace's members and the videos shared there.

6. AI features

Sonvo uses AI to transcribe recordings and write titles, summaries and chapters. These can be wrong or incomplete, so check them before you rely on them. You're responsible for how you use them.

7. Plans and payment

• Free and Pro. Sonvo has a free plan and a paid Pro plan. What each includes, including limits on videos, recording length, recording time and views, is shown on the pricing page. When an account goes over a limit, Sonvo may pause recording or playback for the rest of that month as described there.
• Billing. Pro is billed in advance, monthly or yearly, and renews automatically until you cancel. Payments are processed by Stripe. For some purchases Stripe acts as the seller and handles sales tax, and its terms also apply. Prices don't include taxes unless shown that way at checkout.
• Cancelling. You can cancel any time under Plan and billing. Pro stays on until the end of the period you paid for, and then your account moves to the free plan. Your videos aren't deleted.
• Refunds. Payments are non-refundable, including for partly used periods, except where the law requires a refund or we decide to give one.
• Price changes. If we change the price of your plan, we'll tell you at least 30 days before it applies to you, and you can cancel before then.

8. Sonvo for Mac and the sonvo command

We give you a personal, non-exclusive, non-transferable license to install and use Sonvo for Mac and the sonvo command to use Sonvo. They update themselves to keep working with Sonvo and to fix problems, and some updates may be needed to keep recording. Don't copy, modify or reverse engineer them, except where the law allows it.

9. Other services

Sonvo works with services like Google sign-in, Slack and the AI tools you connect with an API token. Their own terms apply to your use of them, and we aren't responsible for them. Removing Sonvo from a connected service, or revoking a token, stops Sonvo's access.

10. Feedback

If you send us ideas or feedback, we may use them freely, without any obligation to you.

11. Copyright complaints

If you believe something on Sonvo infringes your copyright, email [email protected] with: the work you believe is infringed; the link to the content; your contact details; a statement that you believe in good faith the use isn't authorized; and a statement, under penalty of perjury, that your notice is accurate and you're the owner or allowed to act for the owner, with your physical or electronic signature. We remove infringing content and close the accounts of repeat infringers.

12. Closing your account

You can stop using Sonvo at any time, and ask us to delete your account at [email protected]. We may close accounts as described in section 4, or end Sonvo itself with at least 30 days' notice, in which case you'll be able to download your videos first and we'll refund any prepaid time you haven't used. Sections 2 (for content already shared), 7 (amounts owed), 10, 13, 14, 15, 16 and 18 still apply after an account closes.

13. Disclaimers

We work hard to keep Sonvo running well, but it's provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise that Sonvo will always be available, error-free or that content will never be lost. Keep your own copies of anything important.

14. Limits on liability

To the extent the law allows, Benmore isn't liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from Sonvo or these terms. Our total liability for any claim about Sonvo or these terms is limited to the greater of what you paid us for Sonvo in the 12 months before the claim and US$100. Some places don't allow these limits, so they may not all apply to you.

15. Indemnity

If someone makes a claim against us because of your content, your use of Sonvo or your breaking these terms, you'll cover our reasonable costs and losses from it, including reasonable legal fees. We'll tell you about the claim and let you help respond.

16. Governing law

These terms are governed by the laws of the State of Illinois, USA, without regard to its conflict of laws rules. Any dispute will be resolved only in the state or federal courts in Cook County, Illinois, and you and we agree to their jurisdiction. If you're a consumer in a country whose laws give you the right to bring claims in your local courts, or under its laws, nothing here takes that away.

17. Changes to these terms

We may update these terms as Sonvo changes. We'll update the date above, and for important changes we'll email account holders at least 14 days before they take effect. If you keep using Sonvo after that, the new terms apply; if you don't agree, stop using Sonvo and cancel any paid plan.

18. The rest

These terms and the Privacy Policy are the whole agreement between you and us about Sonvo. If part of them can't be enforced, the rest still applies. If we don't enforce something right away, we haven't given up the right to. You can't transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither of us is responsible for delays caused by events beyond reasonable control.
